Home base of either Toronto is strongly preferred.
Swim Recruiting is conducting a confidential search on behalf of an AI and media technology company operating across Canada, the United States, and various countries in Europe. The company delivers an integrated solution with one connected platform. They are taking data and intelligence that customers often already have, and strategically connecting the information to monetize real results. So far the company has over 50 clients in 4+ countries and their product is being used in thousands of locations. Following a recent reverse takeover and stock exchange listing, the organization has entered its next phase of growth: scaling their proven platform into new markets and verticals while continuing to build the capital markets profile of a public growth company.
Swim Recruiting has been engaged on the search for a new Global Chief Financial Officer whose first priority is capital markets: raising capital for a TSXV growth company and keeping the market informed and engaged once it is raised. It suits a capital markets professional who has led small-cap raises as a CFO, VP Finance, or corporate development lead and is ready to own the full mandate. The CFO will run financings from term sheet to close, starting with private placements, bridge financing and working capital facilities, and growing into larger equity and debt rounds as the company scales. Working alongside the Founder & CEO and the Global COO, the CFO will be a primary face of the company to brokers, investors, and lenders and will play a key role in translating the growth story into funding. This is not a back-office finance role. We are looking for an externally-facing CFO who has already grown a public company and who arrives with an active network of institutional investors, private credit and structured finance providers, investment bankers, and strategic partners ready to engage with. This is a rare opportunity to be the architect of the capital strategy for a newly public, fast-scaling technology company.
Responsibilities:
- Lead brokered and non-brokered private placements, convertibles, and warrant structures from mandate through to close.
- Secure and manage bridge, working capital, and asset-based facilities, including LC and credit lines tied to inventory and deployment cycles.
- Build and work a pipeline of Canadian investment dealers, family offices, high-net-worth and institutional investors, and private lenders.
- Prepare the materials that win capital: investor decks, financial models, data rooms, and term sheet analysis.
- Run investor meetings, non-deal roadshows, and conferences in Canada and the US.
Investor Relations & Disclosure:
- Own investor relations for a TSXV-listed company: shareholders, analysts, market makers, and IR firms.
- Prepare news releases, MD&A, and financing disclosure in coordination with securities counsel.
- Ensure every financing is structured, approved, and filed in compliance with TSXV policies and Canadian securities requirements.
- Build and maintain a 12 to 24 month funding roadmap that balances dilution, cost of capital, and growth speed.
- Advise the Founder & Chairman, Global COO, and Board on capital structure and on financing for strategic or M&A opportunities.
Finance Oversight:
- Oversee reporting, treasury, and controls with country finance leads across Canada, the US, Europe, and Turkey, to public company standards.
- Present to the Board and Audit Committee on cash position, runway, and funding plans.
Candidate Requirements:
- 10+ years in finance, with at least 5 in Canadian capital markets as a public company CFO or VP Finance, in corporate development, or in investment banking or equity capital markets at a Canadian dealer.
- A track record of personally leading small-cap raises on the TSXV, CSE, or TSX, typically C$2M to C$30M per round.
- A current network of Canadian investment dealers, family offices, high-net-worth investors, and private lenders you can put to work in your first 90 days.
- Working knowledge of TSXV policies, NI 45-106 prospectus exemptions, continuous disclosure, and IFRS and current PIFF.
- Comfortable operating at both altitudes — the strategic capital-raising mandate and enough command of the underlying financials to be credible with investors, lenders, and the Board.
- Experience in technology, AI/analytics, media, or adjacent sectors is highly preferred.
- Willingness to travel regularly across the company's markets in North America, UK, and Europe.
Compensation:
The new CFO will receive a base salary commensurate with depth and breadth of work experience and relevant investor networks, in the range of $240,000 to $300,000 Canadian. The upside for this role is robust. The CFO will be eligible for an annual bonus program and equity. The CEO/Founder will have their CFO’s total earnings increase in-step with the company’s growth. We are looking for a CFO who thrives on having “skin in the game”, and who is highly motivated by the potential rewards of their sweat equity, corporate finance savvy, and successful capital raising activities.
Location:
Home base of Greater Toronto Area, with frequent business travel across North America, as well occasional trips to the UK, Europe, and potentially Asia. Must have a valid passport and no travel restrictions.
