At Greybox Legal LLP, we guide entrepreneurs, family businesses, professionals and high-net-worth families through the kind of corporate structuring, tax planning, reorganizations and succession work that rarely fits a template—and we do it as a close-knit, hands-on team.
The Opportunity
We’re looking for a seasoned Senior Corporate & Tax Law Clerk to sit shoulder-to-shoulder with our corporate and tax lawyers from planning through closing and reporting. You’ll turn complex legal and tax strategies into clean, well-sequenced corporate steps, catch issues before they become problems, keep clients and accountants in the loop, and push every matter to the finish line. No two files look alike. Yours will span Section 85 rollovers, estate freezes, share exchanges, amalgamations, restructurings, wind-ups, sophisticated incorporations, trust and post-mortem transactions, minute-book rectifications and closings.
The Work
- Manage corporate and tax-reorganization matters from initial instructions through implementation, closing, reporting and minute-book updating.
- Review transaction steps and draft the required resolutions, agreements, share and rollover documents, articles, notes and closing materials.
- Review minute books, share capital and corporate history; identify and upscale missing records, inconsistencies and rectification issues.
- Coordinate with lawyers, clients, accountants and advisors to obtain information, approvals and signatures and keep matters on schedule.
What We’re Looking For
- Significant corporate law clerk experience with tax-driven reorganizations and complex private-company transactions.
- Strong knowledge of Ontario corporate law, corporate records and minute books, including rollovers, share reorganizations and amalgamations.
- Excellent drafting, organization and transaction-management skills, with sound judgment and close attention to detail.
- Confidence working directly with lawyers, clients, accountants and advisors; familiarity with corporate-record and transaction-management technology is expected.
How You’ll Succeed
- Own the complete transaction: understand the objective, connect each document and step to the broader plan, anticipate what comes next and drive files to completion.
- Be proactive and solutions-focused: follow up on missing information, identify issues early, take the obvious next step and bring practical recommendations.
- Exercise judgment and stay organized: manage competing priorities, resolve what you can, elevate appropriately and maintain accuracy without losing sight of the larger transaction.
- Communicate and collaborate: flag roadblocks before deadlines are affected, provide timely client and lawyer updates, share knowledge, support colleagues, receive feedback well and suggest improvements to how we work.
Why Greybox?
- Sophisticated corporate and tax-planning work with direct lawyer collaboration.
- Meaningful responsibility, close client contact and involvement across the complete transaction.
- A collaborative, entrepreneurial environment and a voice in how the practice develops.
