Emery Jamieson LLP is looking for a corporate and commercial solicitor with 2 to 5 years of call to join our Business Law Group in Edmonton. The group has more transaction work than lawyers to do it, but we won’t compromise standards to grow. Our clients are owner-managed businesses, start-ups, First Nations, and lower-mid-market companies. The group is progressive in its tech adoption and firmly rooted in professional excellence.
The successful candidate will run their own files, deal directly with clients, work on deal teams for larger transactions, and work beside a partner who will push work down to them as fast as they can take it. For the lawyer who earns it, the path to partnership is real and not time-based. We hold a high legal standard. Clean drafting, accurate analysis, and sound judgement matter more to us than years of call. We want someone who takes ownership of a file, asks the right questions early, uses their initiative, and wants to grow.
The Practice
- Corporate: incorporations and corporate maintenance, share issuances and transfers, unanimous shareholder agreements, reorganisations, and share and asset purchases from LOI through closing.
- Commercial: Drafting and reviewing commercial agreements (services, supply, licensing, NDAs), commercial leases, and lender-side lending and security.
What You Will Do
- Draft and review transaction documents, from the LOI to the closing agenda and the reporting letter.
- Run diligence and legal research, and turn the results into clear advice the client can act on.
- Deal directly with clients, opposing counsel, lenders, and accountants.
- Negotiate deal terms and documents on the client’s behalf.
- Run files from instructions to closing under partner supervision, and delegate to paralegals and assistants where that serves the client.
- Grow your own client base. We support business development.
What You Bring
- Clear, respectful, and professional communication with clients.
- Exceptional analytical and reasoning skills.
- The ability to carry several transactions at once and hit closing dates.
- Interest in building client relationships and, over time, a practice of your own.
- Respect for support staff and working in a team is non-negotiable.
Required Qualifications
- A Bachelor of Laws (LL.B.) or Juris Doctor (JD).
- If you obtained your law degree outside Canada, you must provide proof of accreditation from the National Committee on Accreditation (NCA).
- You must be an active member, or immediately eligible for full membership, of the Law Society of Alberta.
- Working knowledge of the Law Society of Alberta Code of Conduct and Rules.
- Comfort with Microsoft 365 and document management systems.
- A self-starter: you move a file forward without waiting to be asked.
